ARTICLE I
Name
The name of this museum shall be The Armenian Museum.
ARTICLE II
Purposes
This museum shall be a nonprofit PUBLIC BENEFIT CORPORATION and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public and charitable purposes.
The specific purpose of this corporation is to promote the progression, preservation and study of Armenian History, Culture, Literature, Arts & Crafts, Music & Armenian Language.
This Corporation is organized and operated exclusively for the educational purposes within the meaning of Section 501(c)(3), Internal Revenue Code. No substantial part of the activities of this corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office.
ARTICLE III
Membership
Membership of the Armenian Museum shall consist of Honorary Members, Lifetime Members, Senior Members, Junior Members, Corporate Members, Associate Members, Active Members, Community Members, and Student Members. Voting members of the institution shall be the Active Members. Other classes of members, who shall be non-voting, may be established by the officers.
ARTICLE IV
Officers
The officers of the Museum shall be a President, a President-Elect, a First Vice-President, a Second Vice-President, a Vice-President, a Secretary-Treasurer, and an Editor. Officers shall be elected in the manner prescribed in the Bylaws.
The number of officers constituting the Board of the Armenian Museum is to be not less than one and no more than twenty-five.
ARTICLE V
Election of Officers
The manner in which Officers are to be elected is as follows:
In accordance with procedures set forth in the by-laws, Officers shall be elected by a vote of two-thirds of the Board of Executives.
If any Officer shall fail to attend three consecutive meetings without written excuse accepted by the Officers, he or she shall be deemed to have resigned. Vacancies shall be filled for the unexpired term by a two-thirds vote of the full Board of Executives.
ARTICLE VI
Appointment and Function of Museum Director
The Chief Executive and operating officer of the museum appointed by the Executive Committee and serving at their pleasure shall be the Museum Director, whose duties shall be those as defined by the bylaws of the institution.
ARTICLE VII
Distribution of Assets upon Dissolution
In the event of dissolution of the museum, assets shall be distributed for one or more exempt purposes within the meaning of Section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future Federal tax code, or shall be distributed to the Federal government or to a State or local government for a public purpose.
ARTICLE VIII
Amendments
These articles may be amended at any time by a two-thirds vote of the Board of Executives then in office.
